Please read these terms and conditions ("Terms", "Terms and Conditions") carefully before using the LinkyFlow website and the LinkyFlow software (the "Service").

The Service is published and operated by GOLDEN F, a French société par actions simplifiée with a share capital of €300, whose registered office is at 21 avenue Pasteur, 92400 Courbevoie, France, registered with the Nanterre Trade and Companies Register under number 998 971 410, EU VAT number FR11 998 971 410 ("LinkyFlow", "us", "we", or "our"). Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

1. Definitions

The following terms are used throughout these Terms, in the Service itself and on our pricing page, and always with the meaning given here.

Service: the LinkyFlow website, web application, spreadsheet add-ins (including the Microsoft Excel add-in and the Google Sheets add-on) and the underlying APIs.

Provider: a third-party service you choose to connect to the Service — for example a cryptocurrency exchange, an e-commerce platform, a payment provider or a marketplace. Providers are operated by third parties, not by us.

Connection: one connected data source (one exchange account, one online store, one payment account, and so on). A connection counts towards your plan limit when it is active and is not a test connection; connections that are pending, disabled or in error do not count.

Query: one configured request for data — the definition you build in the Service and then load or refresh into your spreadsheet.

Load / refresh / write: a single execution of a query against a Provider, whether triggered manually, by automatic refresh, or by an action that creates or updates data at the Provider.

Data row: one row actually fetched from, or written to, a Provider's API — each row a load returns (a trade, an order, a payment, a product, and so on) and each row you create or update through the Service. Reloading or refreshing the same data counts again, because the data is fetched again. Building a query, browsing the interface or connecting an account does not count.

Rows per query: the maximum number of data rows a single load may return on your plan.

Request: one load, refresh or write sent to a Provider. Requests are counted for operational and capacity purposes and are visible to us; they are not a plan limit and no plan restricts them.

Usage period: a calendar month, counted in UTC. Monthly counters start at zero at the beginning of each calendar month and are not carried over.

Plan: the subscription tier applicable to your account, with the limits described in section 3.

2. Accounts

When you create an account with us, you must provide us with accurate, complete, and current information at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service.

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. If you use the Service on behalf of a company or another legal entity, you represent that you are authorised to bind that entity to these Terms.

3. Plans, limits and metering

The Service is offered on several plans. The plans, their prices and their limits in force are those published on our pricing page at linkyflow.com/pricing, which forms part of these Terms. As of the effective date shown at the top of this page:

  • Free — €0. Assigned automatically to every new account. 1 connection, 2,000 data rows per usage period, up to 2,000 rows per query, automatic refresh no more often than once per hour.
  • Starter — €9.99 per month. 2 connections, 250,000 data rows per usage period, up to 25,000 rows per query, automatic refresh no more often than every 15 minutes. Includes a 15-day free trial.
  • Pro — €39.99 per month. 10 connections, 5,000,000 data rows per usage period, up to 100,000 rows per query, automatic refresh no more often than every minute, priority support. Includes a 15-day free trial.

An Enterprise arrangement exists for negotiated deals; it is not offered publicly and is governed by a separate written agreement.

3.1 Metering. We count, per account and per usage period, the data rows fetched or written through the Service, and the number of active connections. These counters are the ones displayed in the Service, and they are the reference in case of a dispute over consumption. Requests are also counted, but they are not limited.

3.2 What happens when a limit is reached. Enforcement is automatic and is a normal, contractually agreed operation of the Service, not a defect:

  • reaching your connection limit prevents you from adding further connections;
  • exhausting your monthly data rows suspends loading until the next usage period, or until you move to a plan with a higher allowance;
  • a single load that would return more rows than your plan's rows-per-query cap is refused; you may narrow the query (shorter period, smaller page size) or change plan.

We warn you inside the Service when you approach a limit and again when you reach it. Reaching a limit does not give rise to any refund, credit or compensation.

3.3 Changes to plans and limits. We may change the plans, their prices and their limits. Changes take effect for you at the start of your next billing period and, where they are unfavourable to you, we will make reasonable efforts to inform you beforehand; you are free to cancel before they take effect. Reductions of limits do not apply retroactively to a usage period already in progress.

4. Subscription, billing and cancellation

4.1 Free plan. The Free plan requires no payment method and has no expiry. It is provided on the same "as is" basis as the rest of the Service, and we may change or discontinue it.

4.2 Trial. Paid plans start with a 15-day free trial. If you do not cancel before the end of the trial, the subscription starts and the first payment is taken automatically.

4.3 Payment. Paid subscriptions are billed in advance, per month, through our payment provider. Prices are shown in euros, inclusive of tax for consumers; the applicable taxes are detailed at checkout. You authorise us and our payment provider to charge your payment method for each renewal. An invoice is made available to you for each renewal.

4.4 Renewal and cancellation. Subscriptions renew automatically for successive periods until cancelled. You may cancel at any time; cancellation takes effect at the end of the current paid period. You keep access until then, after which your account moves to the Free plan and its limits. Except where the law requires otherwise, amounts already paid for a started period are not refunded, in whole or in part, including where you stop using the Service or where your usage was lower than your plan's allowance.

4.5 Failed payment. If a payment fails, we may suspend access to the paid features and, after a reasonable period, move the account to the Free plan.

4.6 Consumers — right of withdrawal. If you are a consumer, you have fourteen (14) days to withdraw from a paid subscription, under article L. 221-18 of the French Consumer Code, without having to give a reason. To exercise it, simply send us an unambiguous statement at contact@linkyflow.com before the period expires.

By activating a paid plan and using the Service during that period, you expressly request that performance begin before the end of the withdrawal period. Under articles L. 221-25 and L. 221-28 of the French Consumer Code, you then acknowledge that, if you withdraw, you owe an amount proportionate to the service supplied up to the moment you inform us of your decision, and that you lose your right of withdrawal once the service has been fully performed. The 15-day free trial lets you evaluate the Service before any payment.

5. Connected accounts and third-party providers

5.1 Your credentials, your scope. You choose which Providers to connect and which credentials, API keys or authorisations to supply. You are responsible for the permissions you grant. Where you only need to read data, we recommend supplying read-only credentials; where you grant permissions that allow writing, ordering or transferring, the Service will be able to perform those operations at your instruction.

5.2 You must be entitled to the data. You represent that you own the connected accounts, or are authorised to access them and to process the data they contain, and that doing so complies with the terms of the Provider concerned and with applicable law.

5.3 Providers are third parties. We do not control Providers. Their availability, their rate limits, the correctness, completeness and freshness of what their APIs return, their fees, their decisions to restrict, suspend or close your account, and any change they make to their APIs are outside our control. We are not liable for them, and an interruption or change on their side is not a failure of the Service.

5.4 Their terms apply to you. Using the Service to access a Provider does not exempt you from that Provider's terms and conditions. You remain bound by them, including rules on automated access, request rates and trading.

6. Your responsibility for what you do with the Service

The Service is a tool: it does what you configure it to do, on the accounts you connect, with the permissions you grant. You are solely responsible for how you use it and for the consequences of the operations you trigger. In particular:

6.1 Actions you trigger. Every load, refresh, creation, update, order or trade started from your workbook or from the application is deemed to be made by you, including where it is the result of an error on your part — a wrong cell, a mis-mapped column, a formula copied across rows, a wrong quantity or price, an unintended bulk operation, or a scheduled refresh you left running. We do not review, validate or reverse these operations, and we cannot cancel an operation already executed by a Provider.

6.2 Verify before you act. Data displayed by the Service comes from the Providers and is provided for information purposes. It is not audited, is not certified, may be incomplete, delayed or incorrect, and does not constitute accounting, tax, legal, financial or investment advice. You must verify it against your Provider's own records before using it for accounting, tax, regulatory or business decisions, and you remain solely responsible for those decisions and for your own compliance obligations.

6.3 Trading and financial risk. Where a Provider allows it, the Service can display and place orders on markets — including spot, margin and derivatives such as futures. These activities carry a high level of risk, prices can be extremely volatile, and leveraged products can result in losses exceeding the amounts you deposited. You trade at your own risk and with your own funds. We are not an investment firm, a broker, a custodian or an adviser, we never hold your funds, and we provide no recommendation of any kind. If you are in any doubt, do not use these features.

6.4 Reasonable use. You agree not to use the Service in a way that harms it or others, and in particular not to: circumvent or attempt to circumvent the plan limits or the metering; share, resell or pool a single account between several users or organisations in order to avoid connection limits; automate the interface in a way that generates abnormal call volumes; use the Service to access data you have no right to access; or use it for any unlawful purpose, including market manipulation, money laundering or tax evasion. We may suspend an account whose usage endangers the stability of the Service or of a Provider.

6.5 Your own copies. You are responsible for keeping your own copies of your spreadsheets, queries and exported data. The Service is not a backup or archiving service.

7. Availability and changes to the Service

We aim to keep the Service available and to improve it continuously, but we do not commit to any availability level. Maintenance, incidents, changes made by Providers, and the evolution of the product may interrupt or alter the Service. We may add, change or remove features at any time; where a change substantially reduces a paid feature you rely on, you may cancel under section 4.4.

8. Software defects

Software contains defects. Where a bug, an anomaly or a regression in the Service occurs, our obligation is limited to making reasonable efforts to correct it within a reasonable time once it is reported. You use the Service at your own risk and are responsible for taking appropriate precautions — checking results, limiting the permissions you grant, and testing write operations on a small volume before running them at scale.

9. Intellectual property

The Service and its original content, features, and functionality are and will remain the exclusive property of LinkyFlow and its licensors. The Service is protected by applicable copyright, trademark and other laws. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of LinkyFlow.

Your data — your credentials, your queries and the data retrieved from your Providers — remains yours. We use it only to operate the Service, as described in our Privacy Policy.

10. Links to other websites

Our Service may contain links to third-party websites or services that are not owned or controlled by LinkyFlow.

LinkyFlow has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that LinkyFlow shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

11. Suspension and termination by us

We may suspend or terminate your account immediately, without prior notice, if you breach these Terms — in particular a use contrary to section 6.4, a payment default, or a use that endangers the security or the stability of the Service or of a Provider. We will inform you and state the reason, except where the law prevents us from doing so.

Absent any breach, we may stop providing the Service or a plan on reasonable notice of at least thirty (30) days; in that case, the prepaid and unused portion of your subscription is refunded to you.

Upon termination, your right to use the Service ceases. If you wish to terminate your account, you may simply discontinue using the Service or cancel your subscription as described in section 4.4.

12. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

LinkyFlow, its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

Consumers. The exclusions in this section do not apply to the legal guarantee of conformity for digital content and digital services under articles L. 224-25-12 et seq. of the French Consumer Code, nor to the legal warranty against hidden defects under articles 1641 et seq. of the French Civil Code, which you benefit from in any event.

13. Limitation of liability

To the fullest extent permitted by law, LinkyFlow, its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, revenue, data, use, goodwill, trading losses, or other intangible losses, resulting from (i) your access to or use of, or inability to access or use, the Service; (ii) any operation you triggered through the Service, including erroneous or unintended operations; (iii) any conduct, content, act, omission, outage or decision of a Provider or other third party; (iv) any content or data obtained from the Service; or (v) unauthorised access to, use of, or alteration of your transmissions or content — whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not we have been informed of the possibility of such damage.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Service is limited to the greater of (a) €50 and (b) the amounts you actually paid to us for the Service during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability which cannot lawfully be excluded or limited, including liability for fraud, for wilful misconduct or gross negligence, or for death or personal injury caused by negligence. If you are a consumer, the limitations in this section do not apply to the extent French law prohibits them, in particular under article R. 212-1 of the French Consumer Code, and your statutory rights are unaffected by these Terms.

14. Governing law, mediation and disputes

These Terms are governed by French law, without regard to its conflict of law provisions. If you are a consumer resident in another European Union member state, you also benefit from the mandatory protective provisions of the law of your country of residence.

14.1 Prior complaint. Before any action, we invite you to send your complaint to contact@linkyflow.com: most disputes are settled that way.

14.2 Consumer mediation. If you are a consumer and your written complaint has not been resolved within one year, you may refer the matter free of charge to a consumer ombudsman, under article L. 612-1 of the French Consumer Code. Our designated ombudsman is: [ombudsman name, postal address and website — to be completed].

14.3 Jurisdiction. If you are a business customer, any dispute relating to the formation, interpretation, performance or termination of these Terms falls within the exclusive jurisdiction of the Commercial Court of Nanterre, France, including where there are several defendants, in summary proceedings or in third-party proceedings. If you are a consumer, you retain the benefit of the mandatory rules on territorial jurisdiction.

14.4 Language. These Terms are available in French and in English. In the event of any discrepancy between the two versions, the French version prevails.

14.5 Miscellaneous. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision is held invalid or unenforceable, the remaining provisions remain in full force.

15. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will make reasonable efforts to provide notice of any material changes by updating the effective date at the top of this page. By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms.
